Official Termination Notice

To INTERPOS BILGI TEKNOLOJILERI ELEKTRONIK SAN. VE TIC. A.S. ("Interpos Turkey/Intrade"):

The Framework Agreement for the Sale & Purchase of SIMCom's Products ("AGREEMENT") between Interpos Turkey/Intrade and Shanghai SIMCom Wireless Solutions Limited ("SIMCom") is officially terminated on 09_th July 2024.

This notice serves to remind Interpos Turkey/Intrade of the following:

1. From July 9, 2024, the AGREEMENT and any related contracts are terminated in accordance with the laws of the People's Republic of China (P.R.C.).

2. SIMCom has never authorized Interpos Turkey/Intrade to use its company name, trademarks, logos, or other proprietary information ("SIMCom Exclusive Property"). Per Sections 17.4.4 (V) and 18.2 of the AGREEMENT, Interpos Turkey/Intrade must not use SIMCom Exclusive Property without authorization and must not challenge SIMCom's intellectual property rights. Claim or assist in any claim in the same adversely to SIMCom or its affiliates, or do or permit any act (including remove, deface, alter or obscure any trademarks on delivered goods) that would or might jeopardize or invalidate any intellectual property (including trademarks).

In 2021, Interpos Turkey/Intrade violated the AGREEMENT by using “SIMCom Exclusive Property” on its website, including the unauthorized registration of the domain name https://simcomturkiye.com/ ("simcomturkiye Domain"). Despite initial rectification in June 2021, Interpos Turkey/Intrade resumed the unauthorized use. In the event that Interpos Turkey/Intrade fails to provide an effective remedy for the breach within 30 days after receipt of SIMCom's written notice of rectification, SIMCom shall have the right to unilaterally terminate the AGREEMENT with immediate effect in accordance with Clause 17.2 of the Agreement.

The behaviors of Interpos Turkey/Intrade above-mentioned seriously damaged the legitimate rights and interests, disrupted the distribution market, and damaged the reputation of SIMCom. If Interpos Turkey/Intrade does not fully rectify the breach within 5 working days of receiving this notice by:

1. Closing the simcomturkiye Domain

2. Deleting all content containing SIMCom Exclusive Property

3. Any use of SIMCom Exclusive Property in any way is prohibited without written agreement in advance by SIMCom

SIMCom will pursue legal action to enforce its rights.
